Will these Terms ever change? We are constantly trying to improve our Services, so these Terms may need to change along with the Services. We reserve the right to change the Terms at any time, but if we do, we will bring it to your attention by placing a notice on the affinity. If you use the Services in any way after a change to the Terms is effective, that means you agree to all of the changes. Except for changes by us as described here, no other amendment or modification of these Terms will be effective unless in writing and signed by both you and us.

If you believe that a child under 13 may have provided us personal information, please contact us at support affinity. What are the basics of using Affinity? You promise to provide us with accurate, complete, and updated registration information about yourself. You may not transfer your account to anyone else without our prior written permission. You will only use the Services for your own internal, noncommercial use, and not on behalf of or for the benefit of any third party, and only in a manner that complies with all laws that apply to you.
You will not share your account or password with anyone, and you must protect the security of your account and your password. A violation of any of the foregoing is grounds for termination of your right to use or access the Services. What are my rights in Affinity? You understand that Affinity owns the Services. Do I have to grant any licenses to Affinity or to other users?
Please note that all of the following licenses are subject to our Privacy Policy to the extent they relate to User Submissions that are also your personally identifiable information. For all User Submissions, you hereby grant Affinity a license to translate, modify for technical purposes, for example making sure your content is viewable on an iPhone as well as a computer and reproduce and otherwise act with respect to such User Submissions, in each case to enable us to operate the Services, as described in more detail below.
This is a license only — your ownership in User Submissions is not affected. Also, you grant such other specified users a license to access that Limited Audience User Submission, and to use and exercise all rights in it, as permitted by the functionality of the Services. Neither party shall disclose any of the specific terms of this Agreement to any third party without the prior written consent of the other party, which consent shall not be withheld unreasonably.
Notwithstanding the foregoing, any party may disclose information concerning this Agreement as required by the rules, orders, regulations, subpoenas or directives of a court, government or governmental agency, after giving prior notice to the other party.
If a party breaches any of its obligations with respect to confidentiality and unauthorized use of Confidential information hereunder, the non- breaching party shall be entitled to equitable relief to protect its interest therein, including but not limited to injunctive relief, as well as money damages notwithstanding anything to the contrary contained herein.
Each party shall use its best efforts to ensure that its employees, independent contractor agents, sales and distribution agents and other acting in concert with it or on its behalf are prohibited from taking any action otherwise prohibited to each party hereunder and to promptly notify the other party of the circumstances surrounding any such use or possession of the Software or any part thereof.
Either party may terminate this Agreement upon expiration of the Initial Term or any Extension Term by delivering written notice of such termination at least [number] [ ] days prior to the expiration of the Initial Term or the then-current Extension Term, in which event the Agreement shall automatically terminate at the end of the Initial Term or such Extension Term.
To the extent that either party wishes to revise such security procedures during the term of this Agreement, such revisions shall be agreed upon in writing by the parties. WAIVER No waiver by either party of any default shall be deemed as a waiver of any prior or subsequent default of the same or other provisions of this Agreement. If any force majeure event occurs, the affected Party will give prompt written notice to the other Party and will use commercially reasonable efforts to minimize the impact of the event.
Any notice required to be given under this Agreement shall be in writing and delivered personally to the other designated party at the above stated address or mailed by certified, registered or Express mail, return receipt requested or by Federal Express.
Affinity Agreement means the Affinity Agreement to be entered into pursuant to Section 5. Exclusivity Agreement , in relation to land, means an agreement by the owner or a lessee of the land not to permit any person other than the persons identified in the agreement to construct an onshore wind generating station on the land;. Finance Agreement means a loan, lease, or retail installment sales contract for the purchase or lease of a motor vehicle. Cooperation Agreement means that certain Mortgage Loan Cooperation Agreement, dated as of the Closing Date, among Borrower, Lender and Sponsor, as the same may from time to time be amended, restated, replaced, supplemented or otherwise modified in accordance herewith.
First Amended and Restated Agreement has the meaning set forth in the recitals. Indemnity Agreements means all indemnity agreements executed for the benefit of any of the Borrower Parties or any prior owner, lessee or occupant of the Premises in connection with Hazardous Materials, including, without limitation, the right to receive payments under such indemnity agreements.
Asset Management Agreement means, as the context requires, any agreement entered into between a Series and an Asset Manager pursuant to which such Asset Manager is appointed as manager of the relevant Series Assets, as amended from time to time. Formation Agreement has the meaning attributed to it in Recital A;.
Alliance Agreement has the meaning given to such term in paragraph Equity Agreements has the meaning set forth in Section 5.
